Conditional listing approval received from TSE

Diamond Fields International Ltd. has

received conditional approval from the Toronto Stock Exchange to list the

company shares. DFI expects to satisfy the remaining conditions and begin

trading under the symbol DFI. The company will have approximately 41

million shares outstanding at the time of listing.

At the annual general meeting held on Dec. 10, 1998 shareholders

elected Kevin Dardis, R. Edward Flood, Richard Garnett, Daniel Johnson and

Trevor Schultz as directors of the company.

Dr. Richard Garnett has been appointed as chairman of the company. Dr.

Garnett has been a director since 1997 and previously was a director of

Diamond Fields Resources Inc.

DFI is an international diamond mining and exploration company. The

company’s current focus is the development and mining of the Luderitz sea

diamond concessions in Namibia.
