Nautilus to ask holders to OK financing at Oct. 26 EGM

NAUTILUS MINERALS EGM TO BE HELD OCTOBER 26, 2016

Nautilus Minerals Inc. will hold an extraordinary general meeting (EGM) on Wednesday, Oct. 26, 2016.

The EGM is being held in order to seek shareholder approval of the bridge financing with the company’s two largest shareholders pursuant to a subscription agreement dated Aug. 21, 2016, as discussed in the press release dated Aug. 22, 2016. The company has sent to shareholders the meeting materials, being the notice of meeting, information circular, form of proxy and voting instruction form.

The EGM will be held at the offices of DuMoulin Black, 10th floor, 595 Howe St., Vancouver, B.C., Canada, at 10:30 a.m. Pacific Daylight Time on the above date. The single resolution to be considered at the EGM is set forth in the information circular. Shareholders as at the record date of Sept. 19, 2016, will be entitled to vote their shares at the EGM. Shares held by the investors under the subscription agreement and their affiliates will be excluded from voting on the resolution at the EGM.

The company also announces that, in connection with comments received from the Toronto Stock Exchange, it has entered into an amendment to the subscription agreement pursuant to which the issue price of shares under the subscription agreement will be equal to the volume-weighted average trading price of the company’s shares on the Toronto Stock Exchange for the five-day (previously 10-day) period immediately prior to the date of a financing notice issued by the company to the investors under the subscription agreement.

The meeting materials will also be available on the company’s website and on the company’s profile page on SEDAR. The amendment is also being filed on SEDAR.
